Abast Legal is a law firm specialized in tax, commercial law and legal advisory services for companies and individuals, with a presence in Andorra and Spain and a team of more than 30 professionals across both jurisdictions.

The firm aims to expand its professional team at the Barcelona office with the addition of a multidisciplinary lawyer, with a minimum of four years of experience in business law and a particular focus on commercial, corporate, contractual and litigation advisory services.

The selected candidate will join the legal team in Spain and work in coordination with the professionals in the Barcelona and Andorra offices, participating in national and international matters.

Responsibilities

• Corporate and commercial advisory services for national and international clients.

• Comprehensive management of transactions related to commercial and business law.

• Preparation and formalization of corporate minutes and resolutions.

• Incorporation, amendment, reorganization and restructuring of companies.

• Advisory services on capital increases and reductions.

• Drafting, reviewing and negotiating shareholders’ agreements.

• Participation in sale and purchase, merger and acquisition transactions —M&A—, including due diligence processes, negotiation and preparation of contractual documentation.

• Advisory services on corporate transactions, structural changes and corporate governance.

• Drafting, reviewing and negotiating commercial and civil contracts.

• Involvement in civil, commercial and criminal court proceedings linked to business activity.

• Preparation of procedural briefs, attendance at hearings and follow-up of court proceedings.

• Advisory services on transactions and matters related to real estate law.

• Coordination with other departments of the firm to provide comprehensive legal and tax advice to clients.

Requirements

• Degree in Law.

• Admission to the bar as a practicing lawyer in Spain.

• Minimum proven professional experience of four years.

• Previous experience in commercial, corporate, contractual and business law.

• Experience in corporate acts and transactions, capital increases and reductions, shareholders’ agreements and M&A transactions.

• Experience in litigation and attendance at hearings.

• Native command of Catalan and Spanish.

• High level of English, both spoken and written, equivalent at least to an Advanced level.

• Proficiency in Microsoft Office.

• Professional knowledge and use of artificial intelligence tools.

• Strong oral and written communication skills.

• Ability to work in a demanding environment and manage a high workload.
